1. About WyzLab Solutions OPC

WyzLab Solutions OPC ("WyzLab," "we," "us," or "our") is a One Person Corporation duly registered in the Philippines, providing digital products, learning platforms, design services, development services, and virtual assistant (VA) solutions to individuals and businesses globally.

2. Scope of These Terms

These Terms & Conditions apply to all visitors, users, subscribers, and clients who access or use any of the following:

• WyzLab Solutions website (wyzlabsolutions.com)
• WyzCore Academy and WyzCore Flex/Pro learning management platforms
• Studio Originals digital course products
• WyzPro client course development services
• Design, development, and VA service engagements
• Any subscriptions, memberships, or digital product purchases

3. Eligibility

By accessing or purchasing from WyzLab Solutions, you represent and warrant that:

• You are at least 18 years of age or the legal age of majority in your jurisdiction
• You have the legal capacity to enter into a binding contract
• You are not prohibited by law in your country or region from purchasing digital products or services
• If purchasing on behalf of a company or organization, you have the authority to bind that entity to these terms

4. Products & Services

4.1 Digital Products

WyzLab offers digital products including, but not limited to, online courses, e-books, templates, toolkits, and recorded content delivered through our platforms. All digital products are for personal or internal business use only unless a commercial license is explicitly purchased.

4.2 Platform Subscriptions

Subscription plans grant access to WyzLab's learning management platforms (WyzCore Flex, WyzCore Pro, WyzCore Academy) on a monthly or annual basis. Subscription access is non-transferable and limited to the number of seats or users specified in your plan.

4.3 Service Engagements

Design, development, and VA services are governed by these Terms as well as any separately executed Service Agreement or Statement of Work (SOW). In the event of any conflict, the SOW shall prevail for matters specific to that engagement.

5. Intellectual Property

All content, materials, course assets, trademarks, logos, graphics, frameworks, and methodologies produced by or belonging to WyzLab Solutions OPC including the Bingeable Learning Framework, WyzCore brand assets, Studio Originals curriculum, and all platform content are the exclusive intellectual property of WyzLab Solutions OPC.

You may NOT, without express written permission:

• Reproduce, redistribute, resell, or sublicense any WyzLab content
• Share login credentials or course access with unauthorized individuals
• Screenshot, record, or scrape course content for redistribution
• Create derivative works based on WyzLab proprietary frameworks for commercial purposes
• Remove or alter any copyright, trademark, or proprietary notices

6. User Accounts

When you create an account on any WyzLab platform, you are responsible for maintaining the confidentiality of your login credentials. You agree to:

• Provide accurate and complete registration information
• Notify us immediately of any unauthorized access to your account
• Accept responsibility for all activities that occur under your account

WyzLab reserves the right to suspend or terminate accounts that are found to be sharing access, violating these terms, or engaging in fraudulent activity.

7. Acceptable Use Policy

You agree not to use WyzLab's platforms or services to:

• Violate any applicable local, national, or international law or regulation
• Infringe the intellectual property rights of WyzLab or any third party
• Transmit spam, malware, or any harmful or unauthorized code
• Engage in harassment, abuse, or defamation toward WyzLab staff, partners, or community members
• Attempt to gain unauthorized access to any part of our platforms or infrastructure
• Use automated tools to scrape, mine, or extract data from WyzLab platforms

8. Pricing & Payment

All prices are listed in Philippine Pesos (PHP) unless otherwise stated. WyzLab accepts payment via credit card, debit card, GCash, Maya, bank transfer, and other payment methods made available through our authorized payment processors including Xendit.

Prices are subject to change at any time. Published prices at the time of purchase are the final agreed price for that transaction. WyzLab does not engage in dynamic or discriminatory pricing based on user identity.

9. Refunds & Cancellations

Please refer to our Refund Policy for complete terms governing refunds, cancellations, and chargebacks. In summary:

• Digital products: 7-day refund window from date of purchase, subject to eligibility criteria
• Subscriptions: Prorated refunds available within the first 14 days of a billing cycle
• Service engagements: Refunds governed by the applicable SOW or Service Agreement

10. Disclaimer of Warranties

WyzLab Solutions provides its products and services on an "as-is" and "as-available" basis. To the maximum extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement.

Results from WyzLab courses and services vary by individual effort, circumstances, and implementation. WyzLab does not guarantee specific business or financial outcomes.

11. Limitation of Liability

To the maximum extent permitted by applicable law, WyzLab Solutions OPC, its directors, employees, partners, and contractors shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our products or services. Our total aggregate liability to you shall not exceed the total amount you paid to WyzLab in the twelve (12) months preceding the claim.

12. Third-Party Services

WyzLab may integrate or link to third-party services including payment processors (Xendit), learning management systems, analytics tools, and communication platforms. WyzLab is not responsible for the practices, content, or availability of third-party services.

13. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Republic of the Philippines. Any disputes arising from or related to these Terms shall first be attempted to be resolved through good-faith negotiation. If unresolved within 30 days, disputes shall be submitted to binding arbitration or the courts of competent jurisdiction in the Philippines.

14. Modifications to These Terms

WyzLab reserves the right to update these Terms & Conditions at any time. We will provide notice of material changes via email to registered users or by posting a prominent notice on our website. Continued use of WyzLab's products or services after the effective date of any changes constitutes your acceptance of the updated Terms.
